New Day Dawns For Ultra Motorcycle Company

Fred Campagnuolo purchased the assets and intellectual property of Ultra Motorcycle Company from Finova Mezzanine Capital. Campagnuolo is also an Ultra dealer with three Florida locations. Campagnuolo’s plans include streamlining the model line-up, refining the high-performance motorcycles with some upgraded components, and adding three new models.

Mira Loma, CA - Ultra Motorcycle Company, Inc. announces their purchase of the assets and intellectual property of Ultra Motorcycle Company from Finova Mezzanine Capital, Inc. Ultra Motorcycle Company, Inc. is wholly-owned by Fred M. Campagnuolo, who is also an Ultra dealer, with locations in Daytona, New Smyrna, and Lake Worth, Florida.


According to a previous reports, the assets were purchased October 10, 2001, by Campagnuolo for an undisclosed amount.


Like many Ultra Motorcycle dealers, Campagnuolo has invested significantly in the Ultra brand over the years and is excited about the opportunity to strengthen that brand and provide customers an exceptional value in today’s highly competitive marketplace.


"As the company’s owner and president, and a multi-store motorcycle dealer myself, I plan to bring a heightened dealer and consumer focus to our new organization in everything we do, the products we produce, and the service we provide."


Campagnuolo’s business plan includes streamlining the model line-up, further refining the high-performance motorcycles by upgrading some key components, and adding three new models that compliment Ultra’s niche in the marketplace.


"We have developed a long-term, profitable, growth strategy and plan to build 800-1000 Ultra’s in 2002," says Campagnuolo. "We will not be increasing the price to our dealers and MSRP will remain unchanged from 2001."


Over the past few months, the UMCI team has evaluated each model, identified specific components that will be upgraded in 2002, and completed initial production runs to map processes and increase manufucturing efficiencies. In addition, they have developed three exciting new models that will be debuted in the Easyriders Pavillion at Bike Week in Daytona Beach, FL March 1-10, 2002.


According to Motorcycle NewsWire, Ultra Motorcycle Company had filed a petition for relief under Chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court on May 21, 2001 (http://www.motorcyclenewswire.com/news.cfm?newsid=1686). The filing was necessitated by the threat of a foreclosure sale scheduled later that day by the company's secured creditor, Finova Mezzanine Capital Inc. Although UMC had been in discussions with prospective new lenders to refinance the Finova debt, UMC and Finova had been unable to reach an agreement to extend the foreclosure date. The motorcycle manufacturer ceased production August 2001.


Bikers Dream Inc., which did business under the name Ultra Motorcycle Company ("UMC"), received written notification from Nasdaq on October 17, 2000, announcing Nasdaq's decision to delist the company's stock from the Nasdaq SmallCap Market, effective October 18, 2000.


In February 2000, Bikers Dream Inc. announced that it has closed the sale of its five company-owned retail stores and its licensing operations to V-Twin Holdings Inc. The company then began operating using the name Ultra Motorcycle Company.


Ultra Motorcycle Company designs, manufactures and distributes high-quality, American-made heavyweight cruiser motorcycles. UMC's models have included the Sledgehammer, Fat Pounder, Ground Pounder, Ground Pounder ST, Avenger, Jackhammer ST, Wide One, Wide Two, Titanium Series 1, Titanium Series 2 and Fat Pounder ST. Ultra competed in the motorcycling marketplace with other American-made manufacturers such as Big Dog, Titan and Harley-Davidson.


All of the Ultra models have been manufactured at the company's corporate headquarters and manufacturing facility in Mira Loma. Ultra motorcycles have been distributed through a nationwide dealer network.


In August of 2001, another American-made heavyweight cruiser manufacturer, Titan Motorcycle Company, was also brought back from near-death by yet another Florida multi-store motorcycle dealer, Donn Proudfoot. T.M.C. Acquisitions LLC announced their purchase of the assets and intellectual property of Titan Motorcycle Company of America from Wells Fargo Bank. T.M.C. Aquisitions LLC is wholly-owned by Donn Proudfoot, who is also a Titan dealer, with locations in Daytona and Fort Myers, Florida.
